Terms of Service

1. What the Service Does

The Service is a public leaderboard. Users may submit a listing (a URL, title, and short description) and pay to have it ranked. Position on the leaderboard is determined solely by cumulative amount paid for that listing — it is not an endorsement, review, or verification of the listing by us. Any listing can be outranked at any time by a higher-paying listing.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By submitting a listing or payment, you represent that you meet this requirement and have the authority to agree to these Terms (including, if applicable, on behalf of a business).

3. Listings and Content

• You are solely responsible for the accuracy of anything you submit (URL, title, description, logo).
• You may not submit content that is illegal, fraudulent, malicious (including malware or phishing links), infringing on someone else's rights, or that we otherwise determine harms the integrity of the Service.
• We reserve the right to remove, flag, or refuse any listing at our sole discretion, for any reason or no reason, including after payment has been made. Removal does not entitle you to a refund (see Section 4).

4. Payments, Pricing, and No Refunds

• All bids are processed in U.S. dollars (or the currency shown at checkout) through our payment provider.
• All payments are final. By submitting a bid, you acknowledge that you are paying for a temporary ranking position determined by an ongoing public bidding process — not a good or service that can be "returned." Accordingly: no refunds will be issued because you are later outbid and lose your position; no refunds will be issued if your listing is removed for violating these Terms; no refunds will be issued for any other reason, except where required by applicable law or at our sole discretion in the case of a verified duplicate or erroneous charge.
• The minimum amount to newly claim a position, and the minimum increment required to outbid an existing listing, are shown on the Service at the time of your bid and may change.
• Our payment provider may act as merchant of record for your transaction, meaning they are the seller on record and handle applicable sales tax/VAT. Their own terms also apply to the payment itself.

5. No Guarantee of Position or Duration

Your position on the leaderboard reflects the cumulative amount paid at a given moment and can change at any time if another listing pays more. We do not guarantee any minimum duration at any rank, any minimum number of clicks or views, or any business outcome from participating in the Service.

6. Prohibited Conduct

You agree not to:

• Submit content you don't have the right to submit;
• Attempt to manipulate click or view counts (bots, click farms, automated traffic, etc.);
• Use the Service to distribute malware, run scams, or facilitate illegal activity;
• Attempt to disrupt, reverse-engineer, or abuse the Service's infrastructure.

Violation of this section may result in listing removal and/or a ban from future use, without refund.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any listing on the Service is safe, accurate, or legitimate — clicking through to a third-party listing is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Podiumbid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid to us in the 12 months before the claim arose.

9. Indemnification

You agree to indemnify and hold us harmless from any claim or demand, including reasonable legal fees, arising from your listing content, your breach of these Terms, or your violation of any law or third-party right.

10. Termination

We may suspend or terminate your access to the Service, and remove any listing, at any time, for any reason, without notice and without refund.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We'll update the "Last updated" date above when we do.
